1. Who We Are and How to Contact Us

Gyanis provides digital learning tools and related services for students, parents, teachers, schools, and professionals. Our suite includes:

• Flow: Chat, Mindmaps, Drills, Gameplan, Pulse
• Vibe: Voice and audio-based learning features
• Aura: Directory and booking system for verified psychologists and coaches

Depending on your region and purchase method, your contract may be with our UAE entity or our India branch. The applicable legal entity and address appear on your invoice, receipt, or account page.

2. Eligibility and Accounts

• You must provide accurate and current information when registering and keep it updated.
• If you are under 18, a parent or guardian must review and consent to your use.
• Certain features may require additional school or parental authorization, even for users 18 or older, as required by local policy.
• If you register on behalf of a school or organization, you confirm that you have authority to bind that entity to these Terms.
• You are responsible for protecting your login credentials and device access. Do not share passwords or one-time codes.
• Notify us immediately at support@gyanis.in if you suspect unauthorized access.

3. Use in Schools and Organizations

When Gyanis is deployed in a school, we may issue additional documents, including:

• A Services Order
• A Data Processing Addendum
• A Student Safeguarding Note
• A Service Level Description

If any conflict arises, the executed school agreement overrides these Terms for that deployment.

4. Services and Updates

Flow provides AI-assisted study tools, including chat explanations, mind mapping, drills, planning, and progress analytics.

Vibe offers voice-first learning features for buddy sessions, tutoring, and audio-based study content.

Aura connects users with independent professionals for scheduled sessions. Gyanis provides the platform only and does not deliver direct medical or emergency services.

We may modify, enhance, or remove features to improve performance, security, alignment with curriculum standards, or compliance with law. For material changes, we will provide reasonable notice via email, in-app messages, or website updates.

5. Pricing, Gyanis Coins, and Payments

Gyanis Credits (GC) are the digital credits used within the platform. GC are not legal tender, transferable, or redeemable for cash, unless required by law.

You may purchase, earn, or receive GC through rewards or ambassador programs. Gyanis may adjust pricing or GC reward rates periodically.

Examples:

• Flow may operate on a subscription model.
• Vibe may consume GC per minute of usage.
• Aura sessions are priced per session, set by the independent professional.

Payments are processed through third-party gateways: India: Razorpay or similar licensed payment processors. Other regions: Stripe, PayPal, or equivalent partners.

Taxes, fees, or currency charges may apply. Refunds follow the policy displayed at the time of purchase. Promotional GC or credits may be revoked in cases of fraud, misuse, or policy violation.

6. Academic Integrity and Acceptable Use

Gyanis exists to help students learn better, not to bypass effort or integrity. You agree not to use Gyanis to:

• Cheat on exams or assignments, or submit work that is not your own.
• Violate academic, school, or exam regulations.
• Access another user’s account or data without consent.
• Reverse-engineer, disrupt, or overload the service.
• Upload or share unlawful, harmful, harassing, or obscene content.
• Engage in any activity that exploits or endangers minors.

We may suspend or terminate access if we detect misuse, academic dishonesty, or risk to others.

7. Your Content and Licence to Gyanis

You retain ownership of all content you create and upload, including text, notes, uploads, and messages. By using the service, you grant Gyanis a worldwide, non-exclusive, royalty-free licence to host, process, store, display, and use your content solely to operate and improve the service.

This includes logs, metadata, and anonymized analytics for product improvement and performance insights, consistent with our Privacy Policy. If you submit feedback, ideas, or feature suggestions, you agree that Gyanis may use them freely without compensation.

8. AI Features and Accuracy

Our AI-driven tools (e.g., Flow chat, mind maps, or drills) aim to support understanding, not replace judgment. AI responses may occasionally be inaccurate, outdated, or incomplete. Always verify important information using trusted sources.

Gyanis does not provide medical, legal, or financial advice. Sessions within Aura are educational and wellness-oriented, not clinical therapy or emergency support. In emergencies, contact local authorities or licensed healthcare services.

9. Third-Party Services

We integrate third-party services for hosting, analytics, authentication, AI processing, text-to-speech, and payments. Examples include cloud providers, AI model providers, and communication APIs. Each operates under its own privacy policy and terms. We work only with vetted partners who meet security and compliance standards.

10. Mobile Apps, Connectivity, and Devices

Using Gyanis via mobile data may incur carrier charges. You are responsible for ensuring device compatibility, sufficient storage, and stable internet connectivity. Gyanis is not liable for performance issues caused by device limitations or network disruptions.

11. Intellectual Property

Trademarks and Ownership: “Gyanis,” “Flow,” “Vibe,” “Aura,” “GC Wallet,” and associated logos are trademarks of Gyanis. The website, apps, software, and visual materials are protected by copyright and intellectual property laws. You may not copy, modify, distribute, or create derivative works without written permission.

12. Suspension, Termination, and Survival

We may suspend or terminate your account for policy violations, non-payment, or legal obligations. You may stop using the service at any time. The following sections continue after termination: Payments, Intellectual Property, Disclaimers, Limitation of Liability, Indemnity, and Governing Law.

13. Disclaimers

The Gyanis services are provided on an “as is” and “as available” basis. We make no guarantees of uninterrupted, secure, or error-free performance. To the extent allowed by law, Gyanis disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. Educational outcomes depend on user effort and context.

14. Limitation of Liability

To the extent permitted by law, Gyanis and its affiliates are not liable for indirect, incidental, special, or consequential damages, including loss of profits or data. Our total liability for any claim arising from your use will not exceed the amount paid by you in the preceding 12 months.

15. Indemnity

You agree to indemnify and hold harmless Gyanis, its affiliates, and agents from any claim or loss arising from your breach of these Terms or misuse of services, including reasonable legal and administrative fees.

16. Governing Law and Dispute Resolution

If you contract with Gyanis UAE, these terms are governed by UAE law and disputes fall under the courts of Dubai. If you contract with the India branch, Indian law applies, with disputes under the courts of Chennai, Tamil Nadu. Consumer rights under local law will apply where required.

17. Changes to These Terms

We may update these Terms to reflect changes in services, features, or law. Updated versions will be posted with a revised effective date. For material changes, users will be notified by email or in-app message. Continued use indicates acceptance of new Terms.
