Our Terms & Conditions outline how Gyanis works, what you can expect from us, and what we expect from you. By using our app or website, you agree to these guidelines so we can provide a secure, reliable, and fair learning experience for everyone.

28. General
1. Definitions
“GC” means Gyanis Credits, our internal unit of account. “Institution” means a school, college or comparable organization. “User” includes students, parents/guardians, teachers, staff, coaches and sellers. “Minor” means under 18 years of age.
2. Who we are
3. Eligibility and accounts
- You must be able to form a binding contract to create an account or pay for Services. Minor use requires parent/guardian supervision where applicable.
- Institutions. Representatives warrant authority to bind their Institution and ensure compliant use by staff and students.
- You are responsible for safeguarding credentials and account activity.
4. Our Services
4.1 Flow (study & assessment)
- Includes AI Chat, Mindmaps, Drills (MCQs), Gameplan, Pulse and optional “Ask an Expert.”
- Open Video deep links to credited YouTube content; we do not host or control third‑party videos.
- Teachers can generate question papers and export Drills as a single PDF.
- Flow is subscription‑based; prices are displayed in GC and may change.
4.2 Aura (well-being sessions)
- 60‑minute sessions with independent psychologists (“Aura Coaches”) on Jitsi. Coaches are not our employees.
- No medical or emergency care. Aura provides educational support only. Not for diagnosis or treatment. Not for emergencies.
- Minors require guardian consent. Coach pricing in GC; platform fee 5%.
- Attendance rules: coach no‑show → 100% refund; student no‑show → 95% to coach; neither joins → refund minus 5%;
- cancellations ≥24h → refund minus 5%. Notes are plain text and not a medical record.
4.3 Vibe (audio & voice)
- Listen, Buddy, Tutor and Pods (admin‑curated persona panels, 1–3 personas, 5/10/15 minutes).
- Billing is 10 GC per minute, rounded up. Start requires ≥ 10 GC. Stream‑only; recordings accessible in History where applicable; no downloads..
4.4 OneByZero (marketplace & Entrepreneurship Cell)
- Local‑first marketplace for permitted education‑related items. School Entrepreneurship Cells may manage student listings with mentor oversight.
- Platform fee: 1 GC per order. Payout after delivery confirmation. Sellers handle packaging. Delivery partners may charge separately.
- Shipping scope (v1): local/state only. Cross‑country shipping is disabled.
- No change‑of‑mind returns in v1. Claims for not‑received/damaged must be raised within 48 hours of delivery notice with evidence.
5. GC wallet and payments
- Nature of GC. GC is an internal accounting unit. 100 GC maps to 1 USD internally. GC is not legal tender, a cryptoasset, stored‑value or prepaid instrument, and bears no interest.
- Expiry. GC balances do not expire, except where a specific promotional grant explicitly states an expiry.
- Transferability. User‑to‑user transfers/gifting of GC are not permitted.
- Use of GC. GC can be used only for Services and permitted marketplace transactions within Gyanis. Cash redemption is not provided unless required by law.
- Funding and settlement. You may fund GC using supported payment methods. Taxes, fees and currency conversion may apply. Chargebacks may result in suspension or reversal.
- Subscriptions (Flow). Auto‑renew unless cancelled. Pricing/features may change with reasonable notice.
- Aura escrow. GC is held in escrow at booking and settles per attendance rules.
- Vibe minute billing. Whole‑minute billing; partial minutes round up.
6. Refunds and cancellations
- Flow: No refunds once a subscription period begins, except where mandatory law grants a right of withdrawal or refund. You may cancel future renewals at any time.
- Aura: Per Section 4.2 attendance and cancellation rules.
- Vibe: Per‑minute usage; no refunds for used time.
- OneByZero: No change‑of‑mind returns; claims handled per Section
7. Safeguarding, well-being and mandatory reporting
- If we reasonably believe a user may be at risk of harm, we may take steps permitted by law, including notifying guardians, Institutions or relevant authorities.
- Institutions remain responsible for campus safeguarding duties and compliance with local child‑protection laws.
8. Voice, audio and recordings consent
- By using Vibe or voice/video features, you consent to audio capture and processing for operation, moderation and improvement of the Services. Retention.
- Where two‑party consent laws apply, you represent you are authorized to provide consent for all parties to the recording. For minors, guardian consent is required where applicable.
- Audio/transcripts are retained only as long as needed to operate the Services, then deleted or aggregated/anonymized.
9. Academic integrity
- Do not misuse the Services to cheat on assignments, tests or exams, or to bypass academic rules. Institutions may set additional policies that users must follow.
10. AI output and accuracy
- AI responses may be incorrect or incomplete. Use judgment and verify important information. Gyanis does not guarantee specific learning outcomes or exam results.
11. Acceptable use
- No unlawful conduct; no IP or privacy infringement; no harassment; no malware; no attempts to bypass limits or scrape.
- Follow Institution policies on campus networks and devices.
- Prohibited marketplace items include illegal goods, weapons, adult content, hazardous materials, counterfeit items and any item barred by school policy.
12. Seller terms (OneByZero)
- KYC. Basic KYC is required to sell. We may hold payouts pending verification or where fraud is suspected.
- Sellers must provide accurate descriptions, pricing and inventory, and ship promptly with proof of shipment where applicable.
- Sellers are responsible for taxes, invoicing, consumer laws and product safety.
- We may remove listings, suspend sellers or hold payouts for fraud, disputes or legal compliance.
13. User content and feedback
- You retain ownership of content you submit. You grant Gyanis a worldwide, non‑exclusive license to use, reproduce, display and create derivative works from your content to operate and improve the Services.
- Feedback is voluntary and may be used without restriction or compensation.
14. Intellectual property
The Site, Services and related content are protected by law. All rights not expressly granted are reserved by Gyanis and its licensors. Third‑party names and marks are the property of their owners.
15. Third‑party services
Some features rely on third‑party providers (for example YouTube deep links, Jitsi for video sessions, voice/AI providers). We do not control third‑party services and they may be subject to their own terms.
16. Privacy
Your use is subject to our Privacy Policy, which explains personal data collection and use. For minors, guardian consent is required where applicable. We apply appropriate technical and organizational measures, but no system can be guaranteed secure.
17. Compliance, export controls and sanctions
- You represent you are not located in, or a resident of, a jurisdiction subject to comprehensive sanctions, and are not a denied or restricted party.
- You agree to comply with applicable export control and sanctions laws.
18. Anti‑bribery and anti‑corruption
You agree not to offer or accept bribes or improper payments in relation to the Services. You will comply with applicable anti‑corruption laws
19. Disclaimers
- The Services are provided “as is” and “as available,” without warranties to the maximum extent permitted by law.
- Educational disclaimer: no guarantee of learning outcomes or exam results.
- Aura disclaimer: not for emergencies or medical treatment.
20. Limitation of liability
To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential or punitive damages, or lost profits, revenues, goodwill or data. Our aggregate liability for any claim is limited to the greater of (a) amounts you paid for the relevant Service in the 3 months before the claim, or (b) 1,000 GC.
21. Indemnity
You will defend, indemnify and hold harmless Gyanis against claims arising from your breach of these Terms or misuse of the Services.
22. Suspension and termination
We may suspend or terminate access for violations, fraud, non‑payment or to protect users and the integrity of the Services. You may stop using the Services at any time. Sections on payments, refunds, IP, disclaimers, liability limits and disputes survive termination.
23. Force majeure
We are not liable for delays or failures due to events beyond our reasonable control, including acts of God, labor disputes, internet failures, power outages, war or government action.
24. Dispute resolution - negotiation, arbitration, courts
- Negotiation. Parties will first attempt good‑faith resolution within 30 days after written notice of a dispute.
- Arbitration. If unresolved, disputes will be finally settled by binding arbitration seated in Sharjah, United Arab Emirates, administered by the Sharjah International Commercial Arbitration Centre (Tahkeem) under its applicable rules then in effect, by a sole arbitrator, in English. The arbitral award may be entered in any court of competent jurisdiction.
- Court support. The courts of Sharjah, UAE, retain exclusive jurisdiction for provisional relief and to enforce or set aside awards where permitted by law.
- This Section does not limit any non‑waivable consumer rights granted by mandatory law.
25. Region‑specific terms
India
- Mandatory consumer rights remain unaffected. We will comply with applicable Indian data and consumer rules for Services in India.
United Arab Emirates
- Mandatory consumer rights remain unaffected. We will comply with applicable UAE data and consumer rules.
Africa (including Somalia)
- Availability may vary with local banking, delivery and telecom constraints. Features and payment rails may be adjusted regionally.
Malaysia, Singapore, Sri Lanka, Kenya
- Mandatory local consumer rights remain unaffected. Payment and delivery partners may vary by region.
United Kingdom and United States (planned)
- Services may launch with region‑specific addenda and consumer disclosures. Until then, access may be limited or informational only.
26. Notices
We may provide notices via the Site, email or your account. You may contact us at hello@gyanis.ai.
27. Changes to the Services or Terms
We may modify the Services or these Terms. For material changes, we will take reasonable steps to notify you. Continued use after changes take effect constitutes acceptance.
28. General
- Severability: if a provision is unenforceable, the remainder remains in effect.
- Assignment: you may not assign these Terms without our consent; we may assign in connection with a reorganization or sale.
- Entire agreement: these Terms plus any signed Institution Agreement or regional addendum are the entire agreement.
- Language: the English version controls if translations differ.
This document is for commercial use of the Site and Services. It is not legal advice. Institutions may receive a separate signed agreement.
